1. Acceptance of Terms

By accessing or using the Autobahn Alpha website (https://autobahnalpha.com), the Autobahn Alpha platform (including any investor portal at app.autobahnalpha.com), or any related services (collectively, the “Services”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and Autobahn Alpha Limited, a Delaware limited liability company (“Company,” “we,” “us,” or “our”).

2. Nature of the Services — Informational Only

The Services, including all content on the website, are provided for informational and educational purposes only. Nothing on this website or in our communications constitutes:

•      An offer to sell, or a solicitation of an offer to buy, any security

•      Investment advice, financial advice, tax advice, or legal advice

•      A recommendation to purchase, hold, or sell any security or investment product

Any securities offered by Autobahn Alpha are offered exclusively through definitive offering documents (such as a Private Placement Memorandum, Operating Agreement, and Subscription Agreement) provided to eligible investors. No investment may be made except through the execution of such documents.

3. Accredited Investor Requirement

Autobahn Alpha offerings are made exclusively under Rule 506(c) of Regulation D under the Securities Act of1933, as amended. Accordingly:

•      All investors must be “accredited investors” as defined in Rule 501(a) of Regulation D.

•      We are required to take reasonable steps to verify accredited investor status before accepting any investment.

•      By using the Services or joining the waitlist, you represent and warrant that you are an accredited investor or are seeking information for educational purposes only.

Accredited investor verification will be conducted prior to any investment using methods consistent with SEC guidance, which may include minimum investment thresholds, third-party verification services, or review of supporting documentation.

4. Waitlist and Expression of Interest

Joining the waitlist orexpressing interest in future offerings does not constitute an investment or create any binding obligation on either party. It does not guarantee allocation, access to any specific offering, or priority consideration. We reserve the right to accept or reject any prospective investor at our sole discretion.

5. No Guarantee of Returns; Risk of Loss

Investments in collector car SPVs and related vehicles involve significant risk, including the risk of total loss of invested capital. 6. Intellectual Property

All content on the Services —including text, graphics, logos, images, data compilations, software, and the overall design and arrangement — is the property of Autobahn Alpha Limited or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, display, or otherwise use any content from the Services without our prior written consent, except for personal, non-commercial use in connection with evaluating our offerings.

7. User Conduct

You agree not to:

•      Use the Services for any unlawful purpose or in violation of any applicable law or regulation

TO THE FULLEST EXTENT PERMITTED BY LAW, AUTOBAHN ALPHA LIMITED AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES,WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES.

You agree to indemnify, defend, and hold harmless Autobahn Alpha Limited and its members, managers, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of orrelating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator (s) maybe entered in any court having jurisdiction thereof.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Services and updating the “Effective Date” above. Your continued use of the Services after any modification constitutes your acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited oreliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
