1. Acceptance of Terms
By accessing or using theAutobahn Alpha website (https://autobahnalpha.com), the Autobahn Alpha platform(including any investor portal at app.autobahnalpha.com), or any relatedservices (collectively, the “Services”), you agree to be bound by these Termsof Use (the “Terms”). If you do not agree to these Terms, you must not accessor use the Services.
These Terms constitute a legallybinding agreement between you and Autobahn Alpha Limited, a Delaware limitedliability company (“Company,” “we,” “us,” or “our”).
2. Nature of the Services — Informational Only
The Services, including all content on the website, are provided for informational and educational purposesonly. Nothing on this website or in our communications constitutes:
• An offer to sell, or a solicitation of an offer to buy,any security
• Investment advice, financial advice, tax advice, orlegal advice
• A recommendation to purchase, hold, or sell anysecurity or investment product

Any securities offered byAutobahn Alpha are offered exclusively through definitive offering documents(such as a Private Placement Memorandum, Operating Agreement, and SubscriptionAgreement) provided to eligible investors. No investment may be made exceptthrough the execution of such documents.
3. Accredited Investor Requirement
Autobahn Alpha offerings aremade exclusively under Rule 506(c) of Regulation D under the Securities Act of1933, as amended. Accordingly:
• All investors must be “accredited investors” as definedin Rule 501(a) of Regulation D.
• We are required to take reasonable steps to verifyaccredited investor status before accepting any investment.
• By using the Services or joining the waitlist, yourepresent and warrant that you are an accredited investor or are seekinginformation for educational purposes only.
Accredited investor verificationwill be conducted prior to any investment using methods consistent with SECguidance, which may include minimum investment thresholds, third-partyverification services, or review of supporting documentation.
4. Waitlist and Expression of Interest
Joining the waitlist orexpressing interest in future offerings does not constitute an investment orcreate any binding obligation on either party. It does not guaranteeallocation, access to any specific offering, or priority consideration. Wereserve the right to accept or reject any prospective investor at our solediscretion.
5. No Guarantee of Returns; Risk of Loss
Investments in collector carSPVs and related vehicles involve significant risk, including the risk of totalloss of invested capital. Past performance of collector cars, market indices,or comparable assets is not indicative of future results. Please review ourRisk Disclosures for a more detailed discussion of risks.
6. Intellectual Property
All content on the Services —including text, graphics, logos, images, data compilations, software, and theoverall design and arrangement — is the property of Autobahn Alpha Limited or itslicensors and is protected by copyright, trademark, and other intellectualproperty laws.
You may not reproduce,distribute, modify, create derivative works from, display, or otherwise use anycontent from the Services without our prior written consent, except forpersonal, non-commercial use in connection with evaluating our offerings.

You agree not to:

12. Governing Law and Dispute Resolution
These Terms shall be governed byand construed in accordance with the laws of the State of Delaware, withoutregard to its conflict of laws principles. Any dispute arising out of orrelating to these Terms shall be resolved through binding arbitration administeredby the American Arbitration Association in accordance with its CommercialArbitration Rules, and judgment on the award rendered by the arbitrator(s) maybe entered in any court having jurisdiction thereof.
13. Modifications
We reserve the right to modifythese Terms at any time. We will notify users of material changes by postingthe updated Terms on the Services and updating the “Effective Date” above. Yourcontinued use of the Services after any modification constitutes youracceptance of the modified Terms.
14. Severability
If any provision of these Termsis found to be unenforceable or invalid, that provision shall be limited oreliminated to the minimum extent necessary so that these Terms shall otherwiseremain in full force and effect.
